Synopsis:
This course is designed to educate the young dentist (0-10 years out of dental school) on the various stages of their early career. The course will first focus on associate agreements and the issues and concerns a young dentist must be aware of prior to signing the agreement. The course will then turn to the issues one faces when attempting to buy into a practice and become a partner. The course will view in depth the many compensation scenarios, buy-in concerns, structural issues, buy out scenarios as well as additional major concerns a dentist needs to know about prior to entering into a partnership or shareholder agreement. Next, the course will briefly focus on dental practice start ups and some of the unique issues a dentist faces when attempting to start up a dental practice. Finally, the course will review in depth the issues a buyer faces when acquiring a dental practice, either as a buy-in situation or as a complete acquisition. The focus will be on key issues that should be contained in your purchase agreement and some of the numerous pitfalls you need to be aware of prior to closing on your acquisition.

Educational Objectives:
Upon completion of this course, you should be able to:
  • a. Have a fundamental understanding of the general issues one will face with respect to legal documents through the early stages of a doctor's career.
  • b. Be able to protect themselves from making a decision that increases the risk of harm to the doctor's career as a result of entering into employment or a transition that is harmful to the individual doctor.
  • c. Know key issues to focus on for an associate agreement, leases, partnership agreements and purchase agreements
Description of Speaker:
Jason Patrick Wood is a partner in the Law Firm of Wood & Delgado and has been with the firm since 2004. He is a graduate from San Diego State University and the University of San Diego's School of Law. Jason's primary emphasis is on business transactions for dentists and doctors: leases, purchase agreements, partnership agreements, shareholders agreements, corporations, associate agreements and other business-related legal needs. He has authored many articles relative to the business side of dentistry which have appeared in Dental Economics, CDA Journal, The New Dentist, Colorado Dental Association Journal, Matsco's: Strategies For Success as well as numerous dental society newsletters. Prior to joining Wood & Delgado, Jason worked in Washington, D.C. in connection with Presidential and U.S. Congressional campaigns and thereafter he worked for the U.S. House of Representatives, drafting legislation for various House committees.

The only thing I would have appreciated going into more depth is the write-off process with the allocations. I am completely new to this subject and accounting in general so it was a little confusing.

Jason does an excellent job of laying out the most important points in associate, partnership, and acquisitions. I just wish I would have listened to this 3 years ago. Well worth the $7!

Mr. Wood obviously has an "in the middle approach" to giving an overview to buyers, sellers, associates and so forth. I think that he provides an excellent basic outline of the whole enchilada for anyone looking into transitions on all levels.
